Terms of Service

By accessing or using GEMINV (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including subscribers, admins, managers, and clients.

GEMINV is a private, invite-only gemstone inventory and sales management platform. It provides tools for tracking gemstones, managing buyers, recording payments, and sharing curated views with clients. There is no public catalogue - all access requires explicit invitation by an account owner or administrator.

Access to GEMINV requires a valid invitation from an existing owner or administrator. You must be at least 18 years old to subscribe or create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

GEMINV is offered on a subscription basis. Subscription fees are charged in advance on a monthly or annual basis.

Payments are made by direct bank transfer to our bank accounts (details shown on the Subscribe page), for the number of months you choose. After you upload your payment receipt, we verify the transfer manually and extend your access accordingly. There is no auto-billing and we never store card or payment-instrument details.

Prices are displayed in USD; Sri Lankan customers are also shown an indicative LKR equivalent. Any bank or transfer fees charged by your bank are your responsibility. All payments are final - no refunds are issued once a payment is made, except where required by law. See our Refund Policy.

There is nothing to cancel - you simply stop paying. You retain full access until the end of the period you already paid for; after that, access pauses and your data is kept for a grace period before possible deletion. No refunds are issued for the remainder of a paid period (see our Refund Policy).

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws.
• Share your login credentials with unauthorised parties.
• Attempt to gain unauthorised access to other users’ accounts or data.
• Upload content that infringes third-party intellectual property rights.
• Attempt to reverse-engineer, decompile, or disassemble the Service.
• Use the Service to store or transmit malicious code.

You retain ownership of all gemstone data, photos, documents, and records you upload to GEMINV (“Your Content”). By using the Service, you grant us a limited licence to store and process Your Content solely to provide the Service to you.

You are solely responsible for the accuracy and legality of Your Content. We do not review or verify the contents of your inventory records.

The GEMINV platform, its design, source code, branding, and all content created by us remain our exclusive intellectual property. Nothing in these Terms grants you any licence to use our trademarks or branding.

We aim for high availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice. We may update these Terms at any time - continued use after the effective date of updated Terms constitutes acceptance.

The Service is provided “as is” without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or free of security vulnerabilities.

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim.

These Terms are governed by and construed in accordance with the laws of Sri Lanka, without regard to conflict of law principles.
